These Terms of Service ("Terms") govern your access to and use of aprismgt.com (the "Site") and any services provided by Apris ("Apris," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site.
Apris provides business technology services — including AI automation, custom software, web development, and business systems — and, through Apris Education, childcare consulting and Maryland EXCELS support. The specific scope, deliverables, timeline, and fees for any paid engagement are set out in a separate written agreement or proposal between you and Apris. If those terms conflict with these Terms, the engagement agreement controls for that engagement.
You must be at least 18 years old and able to enter into a binding contract to use our services. By using the Site, you represent that you meet these requirements.
You agree to use the Site lawfully and not to: (a) disrupt, damage, or interfere with the Site or its security; (b) attempt to gain unauthorized access to any account, server, or client portal; (c) use the Site to transmit harmful, unlawful, or infringing content; or (d) copy, scrape, or misuse the Site or its content. We may suspend or terminate access for any misuse.
If you are given access to a client portal or account, you are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately if you suspect unauthorized use.
Apris Education provides preparation, documentation, and organizational support only. Final Maryland EXCELS ratings, licensing, and approval decisions are made solely by Maryland EXCELS and the Maryland State Department of Education (MSDE) — not by Apris — and we do not guarantee any specific rating, approval, or outcome. Similarly, our technology services are provided on a professional-effort basis and we do not guarantee particular business results.
Fees for paid services are described in your engagement agreement or proposal. Unless stated otherwise, invoices are due as specified there. Late or unpaid amounts may result in paused or suspended work.
The Site and its content — including text, graphics, logos, branding, and design — are owned by Apris or its licensors and are protected by law. You may not copy, reproduce, distribute, or create derivative works from our content without our written permission. Ownership of deliverables produced under a paid engagement is governed by the applicable engagement agreement.
The Site may link to or rely on third-party websites and services. We are not responsible for their content, availability, or practices, and your use of them is at your own risk.
The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Apris and its owners and staff will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Site or services. Our total liability for any claim relating to the Site is limited to the amount you paid us (if any) for the service giving rise to the claim.
You agree to indemnify and hold harmless Apris from any claims, losses, or expenses arising out of your misuse of the Site or violation of these Terms.
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Maryland, and you consent to their jurisdiction.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect means you accept the updated Terms.
